These Terms and Conditions ("Terms") govern your use of the Paasora Partner mobile application (package com.paasora.partner) and related services, developed and operated by Prestious It Solution, Surat, Gujarat, India ("Paasora", "we", "us" or "our"). They apply to every shop owner and person using Paasora Partner on behalf of a shop ("you", "Partner" or "Shop").
By creating an account, registering a shop or using Paasora Partner, you agree to these Terms and to the Paasora Partner Privacy Policy. If you are using the app for a business, you confirm that you are authorised to accept these Terms for that business.
1. The Paasora Partner Service
Paasora Partner is a technology platform that lets you list your shop and products in the Paasora customer app, receive orders and subscriptions from customers in your delivery area, manage deliveries, keep a digital khata, and receive payouts for online payments.
You sell your products directly to customers, as an independent business. Paasora is not a party to the sale, does not own or handle your products, and does not employ you or your delivery staff. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.
2. Eligibility and Registration
You must be at least 18 years old and run a lawful shop or business in India.
You must provide true, complete and current information about yourself and your shop, and keep it up to date.
You are responsible for all activity on your account and for keeping your phone and OTPs secure.
One owner account may operate one shop.
3. Verification
You must upload the verification documents requested in the app, such as Aadhaar, PAN and a trade licence or shop registration, and they must be genuine and belong to you or your business.
We may review your documents and shop details before your shop goes live and at any time afterwards, and may ask for more information.
We may refuse, delay or withdraw approval of a shop at our discretion, including where documents cannot be verified.
4. Licences, Taxes and Legal Compliance
You are responsible for holding and keeping valid every licence and registration your business needs — for example FSSAI registration or licence for food products, shop and establishment registration, and GST registration where applicable.
You are responsible for collecting and paying all taxes on your sales, and for issuing invoices or bills to customers as required by law.
You must comply with all laws that apply to your products and business, including food safety, legal metrology (weights, measures and packaging), consumer protection and pricing laws. Prices must not exceed the MRP.
5. Your Listings
Your shop profile, product names, photos, descriptions, prices, units and stock status must be accurate and not misleading. Please mark items out of stock promptly.
You must own or have the right to use every photo and piece of content you upload. You give Paasora a non-exclusive, royalty-free licence to display that content in the Paasora apps and on our website to operate and promote the service.
You must not list prohibited or restricted items, including: alcohol; tobacco or nicotine products for sale to anyone under 18 or where not permitted; drugs, prescription medicines or controlled substances; weapons; counterfeit or stolen goods; expired or unsafe food; and any product whose sale is illegal.
We may remove any listing that breaks these Terms or the law, or that we receive a valid complaint about.
6. Orders, Delivery and Customer Service
Please accept or decline new orders promptly. Once you accept an order, you must prepare and deliver it as ordered, within your stated delivery area and in a reasonable time.
You are responsible for the quality, safety, freshness, packaging and correct quantity of every product you deliver, and for your delivery staff.
Keep your shop status, hours and closed dates up to date. Take your shop offline when you cannot serve orders.
You must handle customer complaints about your products and deliveries fairly and promptly.
7. Cancellations and Refunds
If you decline an order, or a customer cancels an order while it is still in the “placed” stage, and the customer has already paid online, the order is marked “refund pending”. You must refund the customer directly and promptly, and then mark the order as refunded in the app.
You must also give a fair refund or replacement where a product you delivered was missing, damaged, spoiled, expired or different from what was ordered.
We may adjust future payouts for refunds you owed but did not make, and for chargebacks raised by customers on your orders.
8. Subscriptions and Delivery Rounds
If you offer subscriptions, you must deliver each scheduled delivery on your daily round and mark deliveries correctly in the app.
You set the cut-off time for changes. Skips, pauses and cancellations made by customers before that cut-off must be honoured.
Respond to quantity-change requests before the cut-off. On dates you mark as closed, no delivery is made and the customer must not be charged.
9. Khata (Credit to Customers)
Offering khata is your own business decision. You set each customer’s credit limit and are responsible for the entries you record.
Paasora only provides the tool that records the khata. Paasora is not a lender, does not guarantee any customer’s balance, and is not responsible for recovering unpaid amounts.
You must record purchases and payments truthfully, and must not use khata to charge customers for items they did not receive.
10. Payments and Payouts
Cash-on-delivery payments are collected by you directly from the customer.
Online UPI payments from customers are collected through our payment gateway partner, Cashfree Payments, and then paid out by us to the bank account or UPI ID registered in your app, after deducting any refunds, chargebacks and fees that apply.
Payouts are made periodically by the Paasora team for delivered orders. Each payout and its bank transfer reference appears in your payout ledger.
You must provide correct bank details. We are not responsible for payouts delayed or lost because of incorrect bank details you gave us.
If an amount is paid to you by mistake, we may recover it from future payouts.
11. Partner Plan and Fees
Your shop may need an active partner plan to stay visible to customers. The plan price, its features and its coverage period are shown in the app before you pay.
Plan fees are paid in advance through Cashfree Payments. Unless required by law, plan fees already paid are not refundable, including if you stop using the app or delete your account during the plan period.
If your plan expires, your shop may be hidden from customers until you renew.
Any other fee will be shown in the app before it applies. We will give you notice before introducing a new fee or changing the plan price, and the change will apply from your next plan period.
12. Customer Data
You receive customers’ names, mobile numbers and addresses only to fulfil their orders and subscriptions and to manage your khata with them. You must keep this information confidential and secure, and must not sell it, share it, or use it for unrelated marketing or any other purpose. You are responsible for your own compliance with the Digital Personal Data Protection Act, 2023 for the customer information you receive.
13. Acceptable Use
You agree not to:
Create fake orders, fake customers or fake reviews, or manipulate orders, payments or payouts
Ask customers to pay outside the app for an order that was paid online, or charge more than the price shown
Harass, abuse or discriminate against customers
Copy, reverse-engineer, scrape or interfere with the app or its servers, or try to access another shop’s account or data
Use Paasora Partner for any unlawful purpose
14. Suspension and Termination
We may take your shop offline, suspend it, hold payouts that are under review, or close your account if you break these Terms, if we receive repeated or serious complaints, if we suspect fraud, if your documents cannot be verified, or if required by law.
You can delete your account from Profile in the app. Orders still in progress must be completed, declined or cancelled first. When your account is deleted, your shop is taken offline and suspended.
After termination, payouts owed for completed online orders will be settled, minus any refunds, chargebacks or fees owed. Obligations to customers for orders already accepted continue.
15. Intellectual Property
The Paasora name, logo, apps, QR code designs and software belong to Prestious It Solution. You may display your Paasora QR code and the Paasora name in your shop to tell customers they can order from you on Paasora, but you may not change the Paasora logo or use it in a misleading way.
16. Disclaimers and Limitation of Liability
Paasora Partner is provided “as is” and “as available”. We do not guarantee any number of orders, customers or sales, or that the service will always be uninterrupted or error-free.
To the extent permitted by law, Paasora and Prestious It Solution are not liable for any indirect, incidental or consequential loss, loss of profit or loss of business. Our total liability for any claim is limited to the partner plan fees you paid us in the three months before the claim arose.
17. Indemnity
You agree to indemnify Prestious It Solution against any claim, penalty, loss or expense arising from your products, your deliveries, your breach of these Terms, your misuse of customer information, or your violation of any law or third-party right.
18. Changes to These Terms
We may update these Terms from time to time. The current version is always published at https://prestious.com/paasora/partner/terms-and-conditions with its “Last Updated” date. For important changes we will try to notify you in the app. If you keep using Paasora Partner after an update, you accept the updated Terms.
19. Governing Law and Disputes
These Terms are governed by the laws of India. Please contact us first so we can try to resolve any issue. The courts at Surat, Gujarat, India will have exclusive jurisdiction over any dispute arising from these Terms or your use of Paasora Partner.
